Terms of Service

Acceptance of Terms

By creating an account, accessing, or using Mia Chat Messenger ("the Service"), operated by MediaMake ("we", "us", "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and MediaMake. We reserve the right to update these Terms at any time. Material changes will be communicated through the app or via email at least 30 days before they take effect.

Eligibility

You must be at least 16 years of age to use Mia Chat Messenger. By using the Service, you represent and warrant that you meet this age requirement. If you are between 16 and 18 years old, you confirm that you have obtained parental or guardian consent to use the Service.

We do not knowingly collect or solicit personal information from anyone under 16. If we learn that we have collected personal information from a child under 16, we will delete that information promptly.

Account Responsibilities

  • You must provide accurate, current, and complete information during registration
  • You are solely responsible for maintaining the confidentiality of your account credentials
  • You must not share your account credentials with any third party
  • You are responsible for all activity that occurs under your account, whether authorized or not
  • You must immediately notify us of any unauthorized use of your account
  • We are not liable for any loss arising from unauthorized use of your account

Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You expressly agree not to:

  • Send spam, unsolicited messages, malware, or any malicious content
  • Harass, bully, threaten, defame, or intimidate other users
  • Share illegal, violent, hateful, or sexually explicit content
  • Attempt to access other users' accounts or private data without authorization
  • Use automated tools, bots, or scrapers to access, collect, or abuse the Service
  • Circumvent rate limits, security measures, or access controls
  • Impersonate another person, entity, or falsely claim affiliation
  • Use the Service for any activity that violates applicable local, national, or international law
  • Distribute viruses, trojans, worms, or other harmful software through the Service
  • Engage in any activity that could damage, overburden, or impair the Service infrastructure

Violation of these rules may result in immediate suspension or termination of your account without prior notice.

AI Assistant (Mia)

Mia Chat includes an AI assistant ("Mia") powered by third-party language models. By using Mia, you acknowledge and agree that:

  • Mia is provided on an "as-is" basis and may produce inaccurate, incomplete, or misleading responses
  • You must not rely on Mia for medical, legal, financial, tax, or other professional advice
  • Conversations with Mia may be processed by third-party AI providers as described in our Privacy Policy
  • MediaMake is not liable for any decisions made or actions taken based on Mia's responses
  • You must not use Mia to generate content that violates these Terms or applicable law

Content Ownership & License

You retain all ownership rights to the content you create and share through the Service. By uploading or transmitting content, you grant MediaMake a non-exclusive, worldwide, royalty-free, sublicensable license to store, process, transmit, and display your content solely as necessary to operate and provide the Service.

This license terminates when you delete the content or your account, except where copies have been shared with other users or are required for legal compliance. You represent that you have all necessary rights to grant this license and that your content does not infringe on any third-party rights.

Subscriptions & Payments (Auto-Renewable)

Mia Chat offers a free tier with essential features. Premium features require a paid subscription. The available subscription products are:

  • Mia Pro — 1 month for €14.99, or 1 year for €149.99 (€12.50/month, saves 17%)
  • Mia Business — 1 month for €39.99, or 1 year for €399.99 (€33.33/month, saves 17%)

Mia Chat also sells consumable Stars packs (100, 500, 1000) which are not subscriptions and do not auto-renew.

Prices include VAT where applicable and may vary by country based on local taxes and exchange rates. The Apple App Store displays your final local price at the moment of purchase.

Auto-renewal & cancellation — by subscribing, you agree that:

  • Payment is charged to your Apple ID account (iOS) or your Stripe payment method (web) at confirmation of purchase.
  • Subscriptions automatically renew at the end of each billing period unless auto-renewal is turned off at least 24 hours before the end of the current period.
  • Your account will be charged for renewal within 24 hours prior to the end of the current period at the price of the selected plan.
  • You can manage your subscriptions and turn off auto-renewal at any time. On iOS go to Settings → [Your Name] → Subscriptions; on the web go to Mia Chat Settings → Subscription.
  • If a free trial is offered and you purchase a subscription during the trial, any unused portion of the free trial will be forfeited when the purchase is made.
  • No cancellation of the current subscription period is allowed during the active subscription period; the cancellation takes effect at the next renewal date.
  • Prices may change with at least 30 days prior notice through the app or via email. Continued use after a price change indicates acceptance of the new price.
  • Refunds are handled in accordance with applicable consumer protection laws and the respective app store policies. For iOS purchases, refund requests are managed by Apple at reportaproblem.apple.com.
  • Previously purchased subscriptions can be restored at any time from Settings → Subscription → Restore Purchases.

Payments are processed securely through Apple In-App Purchase (iOS) or Stripe (web). We do not store your payment card details. All payment information is handled directly by our payment processors.

Your Privacy Policy describes how subscription and payment data is handled.

Apple App Store Terms (iOS users)

The following terms apply only to the Mia Chat application downloaded from the Apple App Store. They are required by Apple Inc. and supplement, but do not replace, the rest of these Terms.

  • Parties — these Terms are concluded between you and MediaMake only, not with Apple Inc. ("Apple"). MediaMake, not Apple, is solely responsible for the Mia Chat application and the content thereof.
  • Scope of license — your licence is non-transferable and is limited to use of the Mia Chat application on any Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
  • Maintenance and support — MediaMake, not Apple, is solely responsible for providing any maintenance and support services with respect to Mia Chat. You can request support at [email protected]. Apple has no obligation whatsoever to furnish any maintenance or support services in connection with Mia Chat.
  • Warranty — MediaMake is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of Mia Chat to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to Mia Chat, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be MediaMake's sole responsibility.
  • Product claims — MediaMake, not Apple, is responsible for addressing any claims by you or any third party relating to Mia Chat or your possession and use of Mia Chat, including but not limited to: (i) product liability claims; (ii) any claim that Mia Chat fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation, including in connection with the use of HealthKit and HomeKit (if applicable).
  • Intellectual property claims — in the event of any third party claim that Mia Chat or your possession and use of Mia Chat infringes that third party's intellectual property rights, MediaMake, not Apple, will be solely responsible for the investigation, defence, settlement and discharge of any such intellectual property infringement claim.
  • Legal compliance — you represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
  • Third-party beneficiary — you acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

Intellectual Property

The Mia Chat Messenger application, including but not limited to its design, source code, compiled code, graphics, logos, user interface, trademarks, and all associated intellectual property, is the exclusive property of MediaMake and is protected by international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, lease, reverse-engineer, decompile, or create derivative works based on the Service or any part thereof without prior written consent from MediaMake.

Limitation of Liability

To the maximum extent permitted by applicable law, MediaMake, its directors, employees, partners, agents, suppliers, and affiliates shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, goodwill, or other intangible losses
  • Any damages resulting from unauthorized access to or alteration of your data
  • Any damages resulting from third-party content or conduct on the Service

Our total aggregate liability for any claims arising out of or relating to the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) EUR 100.

Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including but not limited to:

  • Implied warranties of merchantability and fitness for a particular purpose
  • Warranties of non-infringement, accuracy, or reliability
  • Warranties that the Service will be uninterrupted, error-free, or secure

Some jurisdictions do not allow the exclusion of certain warranties. In such cases, the above exclusions apply to the fullest extent permitted by applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless MediaMake, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your content or any content submitted through your account
  • Your infringement of any third-party rights

Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice, if we reasonably believe that you have violated these Terms or engaged in conduct that may expose MediaMake to legal liability.

You may delete your account at any time from Settings. Upon termination:

  • Your right to access and use the Service ceases immediately
  • Your personal data will be handled in accordance with our Privacy Policy
  • Sections regarding limitation of liability, indemnification, and governing law survive termination

Dispute Resolution

In the event of any dispute arising from these Terms or the Service, you agree to first attempt to resolve the dispute informally by contacting us at [email protected]. We will endeavor to resolve the dispute within 30 days.

If the dispute cannot be resolved informally, it shall be submitted to binding arbitration or resolved through the competent courts, in accordance with the governing law specified below.

Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the European Union and the applicable laws of the jurisdiction in which you reside, without regard to conflict of law principles.

For users within the EU/EEA, any disputes shall be resolved through the competent courts of your place of residence. Nothing in these Terms affects your statutory rights as a consumer under applicable EU law.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and MediaMake regarding the use of the Service, superseding any prior agreements.
